They will be joining the likes of Sir Elton John and Bryan Ferry at the Concert for Diana, to be held at the new Wembley Stadium on 1 July — which would have been her 46th birthday.
Princes William and Harry — who are overseeing the event — were reported to have chosen Take That after hearing how much they thought of the late Princess.
The band’s Mark Owen said: “Princess Diana was such an amazing woman. I think it’s lovely the princes want to do something to remember her.”
Other acts who are reported to have been signed up include Rod Stewart — an old favourite of Diana’s — James Blunt and Keane.
They will also be joined by performers including Bryan Adams, Kanye West, Orson, Meatloaf and James Morrison. A concert insider said: “The princes have selected acts they knew their mother loved in her lifetime and some newer ones they felt she’d have appreciated.
It’s a fantastic bill and a testament to their powers of persuasion that so many stars have agreed to take part. It’s likely to be as big a deal as Live 8 two years ago.”
To mark her love of dance and musicals, there will be an appearance by the English National Ballet, while Andrew Lloyd Webber will present a medley of songs from his shows.
A memorial service will be held on the actual anniversary of her death, August 31, but the princes said they wanted to hold the concert because the service alone was not enough.
“The main purpose is to celebrate and to remember her in a fun way,” said 24-year-old William. “We wanted to have this big concert full of energy, full of the sort of fun and happiness which I know she would have wanted. “It’s got to be the best birthday present she ever had.”
Sir Elton John, who sang a reworked version of Candle In The Wind at her funeral in 1997, is said to be considering singing it again for the first time in 10 years.
There are also reports that the organisers are trying to persuade one of Diana’s favourite bands, Dire Straits, to reunite for the show. Robbie Williams has been invited and Simon Le Bon is said to have offered to duet with Justin Timberlake.
Performers will waive fees for the event and money raised will go to the Diana Memorial Fund as well as Sentebale, the charity Harry set up in her memory, and homelessness charity Centrepoint, of which William is patron.
Tickets for the event sold out within 20 minutes in December, with many being resold for up to five times their £45 face value.
As well as the 60,000 audience at Wembley, millions more will watch it when it is broadcast on BBC1.
Guests will include the Queen, Prince Charles and Camilla, as well as Diana’s siblings Lady Sarah McCorquodale, Lady Jane Fellowes and Earl Spencer.

According to Billy on the official site, this has NOT been confirmed and he believes James already has another commitment then ..... keep your eyes on this!

Now confirmed as not attending:
"Contrary to reports in the English press, James Blunt will sadly not be performing at the Memorial Concert for Princess Diana at Wembley this summer, due to prior commitments."

TAKE THAT and JAMES BLUNT today denied they are taking part in the Concert for Diana to mark the 10th anniversary of her death.
The official spokesman for the Concert issued this statement after an incorrect report in a newspaper.
It said: "This is to state that, contrary to the report in today's Daily Mirror, Take That and James Blunt are not confirmed to appear at Concert for Diana on July 1, 2007."
A source close to James said: "James has never even been asked to be involved with the concert as he didn't know Diana.
"He is not able to perform anyway because he has other commitments."
Take That also denied they had been asked to take part in the memorial gig, which is being hosted by Diana's friend SIR ELTON JOHN.
